Hong Kong Company Formation Requirements

Hong Kong company formation requirements are the mandatory conditions for investors to meet when incorporating a company there. Honk Kong is one of the most popular formation jurisdictions due to the city being an international center of information exchange, finance and trade. It is the third largest financial center in the world and the largest in South East Asia. Hong Kong Company Formation Requirements
1. Company name   
Both English and Chinese Name are acceptable. An English company name must end with the word “Limited” and a Chinese company name must end with the characters “有限公司”. The Company cannot use name, which already used by other existing registered Hong Kong Company.

2. Company Member
(1) Director
Minimum one director is required. No nationality restriction, need not be resident in Hong Kong.

(2) Shareholder
Minimum one shareholder is required who can be individual or corporate, no nationality restriction, no residency requirement for shareholders. A director and shareholder can be the same or different person.

(3) Company Secretary
The company secretary, if an individual, must be a Hong Kong resident; or if a body corporate, must have its registered office or a place of business in Hong Kong. Appointing a company secretary is mandatory.

2. Registered capital
No minimum share capital requirement - the general norm is to have each shareholder takes a minimum capital of 1 issued share of HKD 1.00 each. No limit or restriction on the maximum amount of share capital.

3. Register address
A local Hong Kong address as the registered address of the company must be provided for receiving government letters and correspondence. The registered address must be a physical address and cannot be a PO Box.

4. Documents Required
A copy of the Memorandum and Articles of Association for the company;
A Company Incorporation Form.

(1) For non-resident shareholders and directors:
Copy of passport & overseas residential address proof.

(2) For resident shareholders and directors:
Copy of Hong Kong identity card.

(3) For corporate shareholders and directors:
Copy of parent company registration documents such as Certificate of Incorporation, Business Registration Certificate and Memorandum & Articles of Association
